By accessing or using our Service, you (“Client” or “you”) agree to be bound by these Terms of Service (“Terms”) provided by Edisc Digital solutions Pty ltd (“we,” “us,” or “our”).
Billing and Payment
- Payment Model: The Service is billed in arrears.
- Billing Cycle: On or after the first day of each calendar month, you will be invoiced for all fees and charges associated with your usage of the Service during the preceding calendar month.
- Payment Terms: All invoices are due and payable within [30] days of the invoice date.
Late Payments: Overdue invoices may be subject to a late fee or interest at the maximum rate permitted by law. We reserve the right to suspend or restrict access to the Service for accounts that are in arrears.
Term and Termination
- Term: This agreement begins on the date you first use the Service and continues a month-to-month basis until terminated.
- Cancellation by Client: The Client may terminate this agreement by providing a minimum of 30 days’ written notice.
- Notice Requirements: The termination notice must:
- Be in writing (email is acceptable).
- Be sent by the registered Account Holder for the Client’s account.
- Be sent to [email protected].
- Final Payment on Termination: The 30-day notice period will begin upon our receipt of a valid notice. The Client is responsible for all fees incurred during this 30-day period. Cancellation will not be considered final, and the account will not be closed, until all outstanding and overdue invoices are paid in full.
Usage Restrictions and Confidentiality
- Intellectual Property: We own all right, title, and interest in and to the Service, including all underlying software, technology, and user interfaces.
- Confidentiality: The Client acknowledges that the Service, its layout, features, design, and all related documentation are the confidential and proprietary information of Edisc Digital solutions Pty ltd.
- Prohibited Actions: The Client agrees not to:
- (a) Capture, record, screenshot, photograph, or create video recordings of the Service’s application interface.
- (b) Share, distribute, publish, or otherwise provide such screen grabs, recordings, or any other non-public information about the Service to any third party for any reason, including but not limited to competitive analysis, public review, or demonstration.
- (c) Reverse engineer, decompile, or attempt to discover the source code of the Service.
- (d) Resell, license, or sublicense the Service to any third party.
- Breach: Any breach of these usage restrictions may result in immediate termination of your account and may subject you to legal action for damages.
Disclaimer of Warranties
The Service is provided “AS IS” without warranty of any kind. We disclaim all warranties, whether express, implied, or statutory.
Limitation of Liability
In no event will Edisc Digital solutions Pty ltd be liable for any lost profits, indirect, special, incidental, or consequential damages arising out of or in connection with this agreement.
General
- Governing Law: These Terms shall be governed by the laws of the Republic of South Africa.
- Amendments: We reserve the right to modify these Terms at any time. We will provide notice of material changes (e.g., by email or a notice within the Service).
